Európske právo obchodných spoločností ako také nie je kodifikované a členské štáty naďalej uplatňujú vlastné právo obchodných spoločností, ktoré občas upravujú, aby dosiahli súlad so smernicami a nariadeniami EÚ. Cieľom úsilia zaviesť moderné a účinné právne predpisy týkajúce sa obchodných spoločností a rámec správy a riadenia spoločností pre európske podniky, investorov a zamestnancov je zlepšiť podnikateľské prostredie v EÚ.

This briefing provides an overview of the legal issues arising from the cross-border transfer of companys' seats within the EU as well as of the current legal landscape. It takes stock of the work carried out and the initiatives taken in this field by both the European Parliament and the Commission. It finally supplies a summary of the expertise recently submitted to both the European Parliament and the Commission as well as of the key findings thereof.

Public-benefit foundations make significant contributions to society in EU Member States (MS). In recent years many have expanded, to operate across borders. However, the lack of harmonised rules has caused problems of legal recognition in other MS and threatens to limit the potential value of the sector. The Commission has brought forward a proposal to tackle the issue.

This study examines how European optional instruments are implemented in the Member States.
