In the context of the economic crisis, mutual societies could have a positive impact in the Union's economy by providing added social value to more than 160 million European citizens. Parliament is to vote to request the Commission to make a legislative proposal concerning a Statute for a European mutual society, including in particular democratic rules for governance.

The paper examines Chapter V (consumer rights concerning contract terms) of the proposed Directive on Consumer Rights. What will be the actual impact of a fully harmonised general clause on the Member States’ substantive law? What should such a general clause look like? Would a general clause create an overload of work for the Court of Justice? The briefing paper focuses on the national law of the following Member States: Germany, France, UK, Poland, Denmark, Cyprus, Portugal, Romania.

This study identifies and analyses the side effects that the "full harmonisation approach" of the proposed Consumer Rights Directive could have on national general contract laws or general sales laws. In particular, the study analyses the reasons for side effects of the proposed directive and provides concrete examples of such effects on national contract laws. Furthermore, it contains recommendations on possible action to be undertaken in order to avoid unwanted side effects.
